SX3 CLUB OFFICIAL RULES

The SX3 CLUB Sweepstakes (the "Sweepstakes") is sponsored and operated by SX3 CLUB LLC (the "Sponsor"). By participating in the Sweepstakes, each Participant agrees to be fully bound by these Official Rules, as well as the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Participation in the Sweepstakes constitutes the Participant's full and unconditional agreement to comply with these Official Rules and all applicable federal, state, and local laws and regulations.

The purpose of these Official Rules is to provide clear guidelines for participation, eligibility, prize distribution, and other important aspects of the Sweepstakes to ensure a fair and legally compliant promotion. It is the responsibility of each Participant to review these rules carefully before participating.

ELIGIBILITY

Age Requirement: The SX3 CLUB Sweepstakes (the "Sweepstakes") is open only to legal residents of the 48 contiguous United States, District of Columbia, and Canada who are at least 18 years of age at the time of entry, except were prohibited by law. Specific age requirements apply to residents of the following states:

·        Alabama and Nebraska: Participants must be at least 19 years old.

·        Mississippi: Participants must be at least 21 years old.

Individuals who do not meet these minimum age requirements are not eligible to participate in the Sweepstakes.

Geographical Restrictions: The Sweepstakes is void in Puerto Rico, Rhode Island, Quebec, and any other jurisdiction where such promotions are restricted or prohibited by law. It is the responsibility of each participant to comply with the specific legal requirements of their jurisdiction. Any prize valued over $2,000 will be void in the state of Pennsylvania.

Ineligible Participants

Employees, officers, directors, agents, and representatives of SX3 CLUB LLC, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any other entities involved in the creation, development, or administration of the Sweepstakes (collectively, the "Released Parties") are not eligible to enter or win.

Immediate family members (defined as spouses, parents, children, siblings, and their respective spouses) and household members of such employees are also ineligible, even if they otherwise meet the eligibility criteria.

Compliance with Laws: By participating in the Sweepstakes, Participants agree to comply with all applicable federal, state, and local laws and regulations. Any misrepresentation or failure to comply with these laws may result in disqualification and forfeiture of any prize.

Proof of Eligibility: The Sponsor reserves the right to require proof of eligibility, including valid identification and proof of residency, at its sole discretion. Failure to provide such proof upon request will result in disqualification from the Sweepstakes.

One Account Per Person: Each participant is allowed to create and use only one account for participating in our Services. Multiple accounts created by the same individual, or any attempt to manipulate or fraudulently participate in the Services, will result in disqualification and potential legal action.

Sponsor’s Right to Disqualify

SX3 CLUB LLC reserves the right to disqualify any individual from the Sweepstakes if it determines, in its sole discretion, that the individual has attempted to tamper with or undermine the entry process, violated these Official Rules, or acted in an unsportsmanlike or disruptive manner.

Right to Amend: The Sponsor reserves the right to amend or modify these eligibility requirements at any time, and any such changes will be communicated to participants promptly.

SWEEPSTAKES PERIOD

The SX3 CLUB Sweepstakes (the "Sweepstakes") Each Drawing begins and ends on the date and time displayed on SX3 CLUB. Our servers are the official time-keeping device of each Drawing (the "Sweepstakes Period"). Any event or circumstance impairing the proper functioning or integrity of any Drawing will be determined by SX3 CLUB, and any corrective action (to the extent necessary) will be determined and taken by SX3 CLUB in its sole discretion. All entries must be received during the Sweepstakes Period to be eligible.

Modification and Extension of Sweepstakes Period: SX3 CLUB LLC ("Sponsor") reserves the right, at its sole discretion, to modify, extend, or terminate the Sweepstakes Period at any time, for any reason, including but not limited to technical failures, fraud, natural disasters, legal obligations, or any other reason that may compromise the integrity of the Sweepstakes. Any changes to the Sweepstakes Period will be communicated promptly to participants via the official SX3 CLUB website and social media channels.

Entry Deadlines: All entries must be submitted on the End Date of the Sweepstakes that is displayed on SX3 CLUB website. Entries received after the end of the Sweepstakes Period will be deemed invalid and disqualified from participation, regardless of any technical or delivery issues that may arise. The Sponsor is not responsible for late, lost, misdirected, or incomplete entries.

No Early Entries: Any entries submitted before the Sweepstakes start date will not be accepted, and such entries will be deemed invalid and will not be eligible for the Sweepstakes.

Unforeseen Circumstances: In the event of unforeseen circumstances, including but not limited to changes in legal regulations or other external factors that prevent the Sweepstakes from proceeding as planned, SX3 CLUB LLC reserves the right to modify, suspend, or cancel the Sweepstakes without prior notice. In such cases, the Sponsor will provide updates via the official website or other official communication channels.

Sponsor’s Right to Cancel or Suspend Sweepstakes: If for any reason, the Sweepstakes cannot be conducted as anticipated, whether due to tampering, fraud, technical failures, or any other reason that compromises the integrity or fairness of the Sweepstakes, SX3 CLUB LLC reserves the right to cancel, suspend, or terminate the Sweepstakes, in its sole discretion, without further obligation or liability.

Frequency of Sweepstakes: For sweepstakes duration details and a live timer, please refer to our landing page. There is no limitation on the number of entries a participant can submit during any given sweepstakes period, and participants are eligible to win multiple times. However, all entries must comply with the official rules, and any entries found to be in violation may be disqualified. The company reserves the right to modify the frequency or duration of the sweepstakes without prior notice, provided that any such changes are clearly communicated in the official rules and do not affect participants' rights.

HOW TO ENTER

Participants may enter the SX3 CLUB Sweepstakes (the "Sweepstakes") using one of the two methods outlined below. All entries must be submitted during the Sweepstakes Period as specified in the Official Rules. Each entry must meet the requirements described herein to be deemed valid.

Alternate Method of Entry (AMOE)

Participants who wish to enter the SX3 CLUB Sweepstakes without making a purchase can do so by completing the Alternative Method of Entry (AMOE) Form which is available as a downloadable PDF on our website. Each valid form submission will be equivalent to one (1) entry into the Sweepstakes, equal to the number of entries earned through purchases.

Form Requirements: Participants must fill out the form with the following details:

·        Name

·        Email Address

·        Phone Number

·        Date of Birth

·        Residential Address

To submit your entry, please download and Print the AMOE Form, complete in black ink, Scan and Email PDF to SX3CLUB@OUTLOOK.COM. 

Submission Deadlines: All AMOE entries must be received during the Sweepstakes Entry Period. Late entries, or entries received outside the specified Entry Period, will not be accepted.

Certification of Compliance: By submitting the AMOE form, participants certify that the information provided is true and accurate and that they agree to comply with the official rules of the SX3 CLUB Sweepstakes. Any false or misleading information may result in disqualification.

Equal Number of Entries: Each completed AMOE form will be equivalent to the number of entries earned through purchases. Participants may submit one form per day unless otherwise specified in the sweepstakes rules.

Limitations: Participants may submit one entry per day through the AMOE, unless otherwise specified in the official sweepstakes rules.

WINNER SELECTION AND NOTIFICATION

Winner Selection

·        Random Drawing: Winners will be selected through a random drawing conducted under the supervision of SX3 CLUB LLC or its designated sweepstakes administrator.

·        Announcement: The drawing will take place on SX3 CLUB’s official TikTok and Instagram accounts within 24 hours following the conclusion of the sweepstakes period.  

·        Final Decisions: All decisions by SX3 Club LLC regarding the selection of winners are final and binding in all respects. The Sponsor reserves the right to disqualify any entry that does not comply with these Official Rules or is found to have engaged in fraudulent activity.

Notification and Verification

·        Immediate Notification: Winners will be notified immediately during the  drawing on social media platforms and subsequently contacted directly via email and/or phone within 24 hours following the drawing.

·        Response Time: To claim the prize, the winner must respond to the notification within 7 days from the date of contact and complete all required documentation to validate their eligibility.

·        Required Documentation: The winner must submit the following documents to claim the prize:

o   Declaration of Compliance

o   Liability & Publicity Release

o   IRS Form W-9 (for U.S. residents) For any individual prize(s) or cumulative winnings valued at $600 USD or greater.

·        Failure to Respond: If a winner fails to respond to the notification or complete the required documentation within the 7-day period, the prize may be forfeited at the Sponsor’s sole discretion, and an alternate winner may be selected.

Default Entry Process

·        If customers do not select a giveaway at check-out, they will automatically be entered into the giveaway that is ending soonest.

Alternate Winner Selection

·        In the event that a winner does not respond or is deemed ineligible, an alternate winner will be selected through a random drawing from the remaining eligible entries.

·        The alternate winner must meet the same eligibility and documentation requirements within the specified time frame to claim the prize.

Public Announcement: By accepting the prize, the winner agrees to allow SX3 Club LLC to publicly disclose their name and likeness in any media or promotional materials, without additional compensation, unless prohibited by law.

Sponsor’s Rights: SX3 Club LLC reserves the right to modify, suspend, or terminate the winner selection and notification process at its sole discretion if technical failures, unauthorized human intervention, or any other factors beyond the Sponsor’s control compromise the integrity of the process.

PRIZE DETAILS

Description of Prizes

·        Prizes Offered: The SX3 Club Sweepstakes will award the specified prizes to eligible winners as described on the official SX3 Club website. Each prize has an estimated retail value (ERV) and will be provided in its current condition at the time of awarding.

·        Non-Transferable: Prizes are non-transferable, and no cash alternative or substitution of prizes will be allowed, except at the Sponsor’s discretion if a prize becomes unavailable.

Refund and Return Policy

·        All Sales Final: Consistent with the SX3 Club Refund Policy, all prizes are non-refundable, and all sales are final. Once an order is placed, entries into the sweepstakes are automatically and immediately submitted, and cannot be altered, rescinded, or refunded.

·        Exchanges Only: Prizes that involve merchandise are subject to the exchange policy outlined in the Refund Policy. Merchandise may be exchanged for items of equal value, provided that the items are in new, unused, unworn, and unwashed condition. No downgrades or exchanges that would result in a refund will be allowed.

 

Tax Obligations

·        Winner's Responsibility: Winners are responsible for all federal, state, and local taxes, as well as any other costs or fees associated with the acceptance and use of the prize.

·        IRS Reporting Requirements: For prizes valued at $600 or more, winners must complete an IRS Form W-9 for tax reporting purposes. SX3 CLUB LLC will issue a Form 1099-MISC to report the total value of the prize to the IRS.

Claiming the Prize

·        Documentation: Winners must complete all required documentation, including but not limited to the Declaration of Compliance, Liability & Publicity Release, and any applicable tax forms, to claim their prize.

·        Verification: The Sponsor reserves the right to verify the eligibility and compliance of winners before awarding any prizes. Failure to provide the necessary documentation within the specified time frame may result in forfeiture of the prize.

Publicity Release: By accepting the prize, winners consent to SX3 Club LLC using their name, likeness, and biographical information for promotional purposes in any media without further compensation, unless prohibited by law.

Limitation of Liability

·        No Warranty: SX3 Club LLC provides all prizes on an "as-is" basis without any express or implied warranties, including but not limited to, the implied warranties of merchantability or fitness for a particular purpose.

·        Indemnification: Winners agree to release and hold harmless SX3 Club LLC and its affiliates from any claims, losses, or damages that may arise in connection with the use or misuse of the prize.

PUBLICITY RIGHTS

By participating in the SX3 Club Sweepstakes and accepting a prize, each winner expressly consents to the use of their name, likeness, photograph, voice, biographical information, and statements by SX3 Club LLC (the "Sponsor") and its affiliates, agents, and representatives for advertising, trade, promotional, and publicity purposes in any media now known or hereafter developed, including but not limited to social media platforms, the official SX3 Club website, and live broadcasts, without further compensation, notification, or permission, except where prohibited by law.

 

 

 

 

Consent to Use

·        Agreement to Publicity: Participation in the Sweepstakes constitutes each winner’s explicit permission for the Sponsor to use their personal information as described above. This consent is irrevocable, worldwide, and perpetual, allowing the Sponsor to publicize the winners’ participation without any time or geographic limitation.

·        Media Channels: The Sponsor may use the winner's name and likeness in any form of media, including digital, print, broadcast, and social media platforms, such as Instagram, TikTok, Facebook, YouTube, and the official SX3 Club website.

No Additional Compensation

·        No Monetary Reward: Winners acknowledge that they will not receive any additional compensation, royalties, or remuneration for the use of their personal information in promotional activities.

·        Acknowledgment of Rights: By accepting the prize, winners understand that this clause does not grant them any rights to control, approve, or request modifications to how their image or likeness is used by the Sponsor in connection with the Sweepstakes.

Legal Compliance: All publicity rights and obligations will be exercised in compliance with applicable federal, state, and local laws. In jurisdictions where such permissions are restricted, the Sponsor will adhere to the legal requirements and obtain consent as necessary.

Limited Exceptions: If required by local law, winners may have the right to opt out of allowing the use of their likeness or personal information for publicity purposes. Such requests must be submitted in writing to the Sponsor within [specified time frame] after accepting the prize, and the Sponsor will comply in accordance with applicable laws.

RELEASE OF LIABILITY

By participating in the SX3 Club Sweepstakes (the "Sweepstakes"), each Participant agrees to release, discharge, and hold harmless SX3 Club LLC (the "Sponsor"), its affiliates, subsidiaries, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives, and agents (collectively, the "Released Parties") from and against any and all claims, damages, liabilities, losses, injuries, or expenses arising from or in connection with the Participant’s participation in the Sweepstakes, acceptance, use, or misuse of any prize, or any breach of these Official Rules.

 

 

General Release

·        Scope of Release: This release includes, but is not limited to, all damages, liabilities, losses, or injuries arising from or relating to technical failures of any kind, lost or unavailable network connections, incomplete, garbled, or delayed computer transmissions, and any other issues beyond the Sponsor's reasonable control.

·        Acceptance of Risks: By participating in the Sweepstakes, Participants acknowledge that there are inherent risks associated with entering a promotional event of this nature, and they accept all responsibility for any risks and consequences associated with participation.

Limitation of Liability

·        Sponsor's Liability: The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Sweepstakes.

 

·        Indemnification: The Participant agrees to indemnify and hold harmless the Released Parties from any third-party claims arising out of or in connection with their participation in the Sweepstakes, including but not limited to claims of infringement, misrepresentation, or breach of these Official Rules.

Technical Failures and Force Majeure

·        No Responsibility for Technical Errors: The Sponsor assumes no responsibility for any computer, online, or technical malfunctions that may occur during the Sweepstakes, including server or provider issues, network failures, or disruptions in email communications.

·        Force Majeure Events: The Sponsor is not liable for any failure to conduct the Sweepstakes as planned due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, war, labor strikes, government actions, pandemics, or any other event constituting force majeure.

Disqualification

·        Violation of Rules: Any Participant who tampers with the entry process or violates these Official Rules will be disqualified and ineligible to receive any prize.

·        Right to Modify or Cancel: The Sponsor reserves the right to modify, cancel, or terminate the Sweepstakes in its sole discretion if it determines that any fraud, technical failures, or other causes have compromised the integrity or fairness of the Sweepstakes.

 

 

Legal Compliance

·        Compliance with Law: This Release of Liability shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

·        Severability: If any provision of this clause is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions.

FRAUD PREVENTION AND DISQUALIFICATION

Fraud Prevention

·        Prohibited Conduct: Any attempt by an entrant or any other individual to deliberately damage or undermine the legitimate operation of the SX3 Club Sweepstakes (the "Sweepstakes") is a violation of criminal and civil laws. Such activities include, but are not limited to, tampering with the entry process, submitting fraudulent entries, using automated bots or scripts, hacking, or interfering with the Sweepstakes website.

·        Monitoring of Entries: SX3 Club LLC reserves the right to monitor all entries for suspicious activity. The Sponsor employs advanced fraud detection tools and data analysis methods to identify and disqualify fraudulent entries or accounts.

·        Immediate Action: If any fraudulent or unethical behavior is detected, SX3 Club LLC reserves the right to take immediate corrective actions, which may include disqualifying the offending entries, suspending accounts, or seeking damages from the responsible parties to the fullest extent permitted by law.

Grounds for Disqualification

·        Violation of Rules: Any entrant found to have violated these Official Rules or attempted to manipulate the Sweepstakes in any way will be immediately disqualified and rendered ineligible to win or receive any prize.

·        Multiple Entries: The use of multiple identities, email addresses, or fraudulent means to obtain more entries than permitted by the Official Rules will result in automatic disqualification of all associated entries.

·        Inaccurate Information: Entries containing false or misleading information, including fake names, addresses, or other details, are grounds for immediate disqualification at the Sponsor's sole discretion.

 

 

 

 

Sponsor’s Rights

·        Final Authority: All decisions made by SX3 Club LLC regarding the disqualification of entries and determination of winners are final, binding, and at the sole discretion of the Sponsor.

·        Right to Audit: The Sponsor reserves the right to audit any entrant’s participation and disqualify those found to have violated the rules or acted in a manner detrimental to the integrity of the Sweepstakes.

·        Legal Action: SX3 Club LLC reserves the right to seek legal action and recover damages for any fraudulent activities conducted by entrants or third parties that compromise the fairness or legality of the Sweepstakes

Notification of Disqualification

·        Contact Information: Disqualified entrants will not be notified individually of their disqualification. The Sponsor is not obligated to inform participants of the grounds for disqualification or provide any evidence supporting the decision.

·        Re-Entry Prohibited: Disqualified participants are permanently banned from entering any future sweepstakes or promotions hosted by SX3 Club LLC.

Compliance with Law

Governing Law: This Fraud Prevention and Disqualification Clause is governed by applicable federal, state, and local laws and regulations. Any disputes or claims arising from disqualification will be subject to the jurisdiction of the courts in the state of New Jersey

Severability: If any part of this clause is deemed unlawful, void, or unenforceable, that portion will be severed from the Official Rules without affecting the validity of the remaining provisions.

MODIFICATION AND TERMINATION

Sponsor’s Right to Modify

·        Changes to the Sweepstakes: SX3 Club LLC ("Sponsor") reserves the right, in its sole discretion, to modify, amend, or update these Official Rules or the Sweepstakes itself at any time and for any reason. This includes, but is not limited to, extending the Sweepstakes Period, altering entry requirements, adjusting prize details, or changing the date and time of the winner selection.

·        Notification of Changes: Any modifications or amendments to the Official Rules will be promptly communicated to participants via the official SX3 Club website and relevant social media channels. It is the responsibility of each participant to review the Official Rules periodically to stay informed of any changes.

 

 

Right to Terminate or Suspend

·        Termination Criteria: The Sponsor reserves the right to suspend or terminate the Sweepstakes, in whole or in part, at any time if, in its sole judgment, the Sweepstakes is not capable of running as planned due to reasons including, but not limited to, infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes.

·        Immediate Termination: In the event of termination, the Sponsor may, at its discretion, select the winner(s) from eligible entries received prior to the event leading to termination, or take any other action deemed fair and appropriate under the circumstances.

Force Majeure Events

·        Uncontrollable Circumstances: The Sponsor shall not be liable or responsible for any delay, failure in performance, or interruption of the Sweepstakes caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, terrorism, war, labor strikes, government actions, or any other events that constitute a force majeure event.

·        Effect on Sweepstakes: If a force majeure event prevents the Sweepstakes from being conducted as planned, the Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes without any liability to participants.

Sponsor’s Final Authority

·        Binding Decisions: All decisions made by the Sponsor regarding the modification, suspension, or termination of the Sweepstakes are final, binding, and not subject to appeal or review.

·        No Liability for Changes: The Sponsor assumes no responsibility or liability for any changes to the Sweepstakes or its Official Rules that may affect a participant’s opportunity to participate or the prize-winning opportunities.

Legal Compliance

·        Governing Law: This Modification and Termination Clause, along with all aspects of the Sweepstakes, shall be governed by and construed in accordance with the laws of the state of New Jersey, without regard to its conflict of law principles.

·        Severability: If any provision of this clause is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions.

 

 

GOVERNING LAW:

These Official Rules and the SX3 CLUB Sweepstakes (the "Sweepstakes") shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved in accordance with the dispute resolution provisions set forth herein.

Any disputes arising out of or relating to these Official Rules or the Sweepstakes shall be resolved exclusively in the state or federal courts located in New Jersey, and each entrant consents to the jurisdiction and venue of such courts.

OFFICIAL RULES AMENDMENTS

SX3 Club LLC ("Sponsor") reserves the right to amend, modify, or update these Official Rules at any time, in its sole discretion. Any such changes will be effective immediately upon posting the revised Official Rules on the SX3 Club website. It is the responsibility of each participant to review these Official Rules periodically to stay informed of any modifications or updates. Continued participation in the Sweepstakes after any changes constitutes acceptance of the revised rules.
